Terms of Service
1. Acceptance
By accessing or using Overlaps (available at overlaps.cc and app.overlaps.cc) you agree to these Terms of Service. If you do not agree, do not use the service. These terms apply to all users, including visitors, free-tier users, and paid subscribers.
2. The service
Overlaps is a time zone planning tool that lets you visualise working hours across multiple time zones, find meeting slots, share those views via links, and — on Pro accounts — save and sync zone presets. We offer a free tier with core functionality and a Pro subscription that unlocks additional features including unlimited zones, cloud presets, and calendar export.
3. Accounts
You must be at least 13 years old to create an account (16 in the European Economic Area). You are responsible for keeping your credentials secure and for all activity that occurs under your account. One account per person; you may not share accounts or create accounts on behalf of others without their knowledge.
4. Subscriptions, billing, and refunds
Trial period
New Pro subscriptions may begin with a free trial. If you do not cancel before the trial ends your payment method will be charged automatically at the standard rate.
Billing
Payments are processed by Stripe. Your subscription renews automatically at the start of each billing period until you cancel. You can manage or cancel your subscription at any time through the billing portal accessible from your account settings.
Refunds
If you are charged for a period you have not meaningfully used, you may request a refund within 14 days of the charge by emailing support@overlaps.cc. We will review requests on a case-by-case basis. Nothing in this section affects any statutory right to a refund you may have under applicable law.
5. Acceptable use
You agree not to:
- Use the service for any unlawful purpose or in violation of any applicable law.
- Attempt to reverse-engineer, decompile, or extract the source code of the service.
- Automate access to the service in a way that places unreasonable load on our infrastructure (scraping, bots, etc.) without our written permission.
- Attempt to gain unauthorized access to other users' accounts or our systems.
- Resell or sublicense access to the service.
- Use the service to transmit spam, malware, or other harmful content.
We reserve the right to suspend or terminate accounts that violate these rules at our sole discretion.
6. User content
"User content" means the preset names, time-zone configurations, and other data you submit to Overlaps. You retain ownership of your user content. By submitting it you grant Overlaps a limited, non-exclusive license to store, process, and display it solely for the purpose of providing the service to you.
You are responsible for ensuring your user content does not violate any applicable law or third-party rights. We may remove content that violates these terms without notice.
7. Service availability
We aim to keep Overlaps available and working well, but we make no guarantee of uptime, availability, or fitness for a particular purpose. The service is provided on a best-effort basis. We may modify, suspend, or discontinue any part of the service at any time, with reasonable notice where practicable.
8. Termination
You may close your account at any time by emailing support@overlaps.cc. We may suspend or terminate your account if you breach these terms. On termination we will delete your personal data in accordance with our Privacy Policy (typically within 30 days), except where retention is required for legal or financial compliance.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OVERLAPS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability, so some of the above may not apply to you.
11. Governing law and disputes
These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. If you have a dispute with us, please contact us first at support@overlaps.cc and we will try to resolve it informally. If we cannot reach a resolution, disputes may be brought in the state or federal courts located in Delaware. Nothing in this section limits your right to bring a claim in small claims court.
12. Changes to these terms
We may update these terms from time to time. When we do, we will update the "Last updated" date at the top. For material changes we may also notify account holders by email. Continued use of Overlaps after a change takes effect constitutes acceptance of the revised terms.
